1. THE PLATFORM — WHAT PRIORITAY IS AND IS NOT

1.1 What Prioritay Is

Prioritay is a relationship clarity app. Its purpose is to help individual users stay connected to their own personal standards inside a romantic relationship. Prioritay's core question is: "Are you a priority in your relationship?"

Prioritay works as follows:

• During onboarding, you write one personal standard for each of six relationship pillars — Signal Clarity, Effort, Integrity, Momentum, Reciprocity, and Standards Conflict — in your own words.
• Each day, you complete a check-in by answering whether each standard was Met, Somewhat Met, Not Met, or Not Applicable.
• Prioritay calculates a daily score and displays a visual funnel showing where the person you are tracking sits relative to your standards.
• Prioritay displays a Closer or Further signal — reflecting whether the person is moving toward or away from your standards based on today's check-in.
• Prioritay generates one AI-powered daily insight sentence based on your own standards and today's answers, generated via the Anthropic Claude API.

1.2 What Prioritay Is NOT

Prioritay is not:

• A therapist, counsellor, psychologist, or mental health service.
• A relationship coach or advisor.
• A decision-making tool.
• A dating app, matchmaking service, or social network.
• A surveillance or tracking tool for monitoring another person.
• A substitute for professional help.

1.3 Prioritay's Role

Prioritay holds a mirror. It reflects what is actually happening — based on your own standards, in your own words, against what you actually logged today. That is its entire function. Prioritay's AI-generated daily insight sentence is a reflective observation only. It is not advice, a recommendation, a diagnosis, or a prediction.

You acknowledge and agree that:

• Prioritay's output reflects only the information you have entered.
• Prioritay is a personal self-reflection tool.
• Prioritay does not endorse, recommend, or take any position on your relationship.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility Requirements

To create a Prioritay account and use the Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement in your jurisdiction.
• Not be prohibited from using the Platform under applicable law.
• Provide accurate, current, and complete information during registration.

2.2 Account Creation

Account creation requires the following information:

• First name — used to personalise your in-app experience.
• Email address — used as your account identity and for account recovery only.
• 4-digit PIN — your primary access credential.
• Age confirmation checkbox — you must confirm that you are 18 years of age or older.

2.3 One Account Per User

Each user may hold one Prioritay account. Accounts are strictly personal and non-transferable. You may not create multiple accounts, share your account with another person, or allow another person to use your account.

2.4 Accurate Information

You are responsible for ensuring that all information you provide to Prioritay is accurate, current, and complete. If your information changes, you must update it promptly in Settings.

3. ACCOUNT SECURITY — PIN, RECOVERY, AND LOCKOUT

3.1 Your PIN

Your 4-digit PIN is the primary method of accessing your Prioritay account. The PIN is required every time you open the App and after 5 minutes of inactivity within the App.

Your PIN is stored as a secure cryptographic hash only. It is never stored in plain text and is never visible to Prioritay staff or any third party.

3.2 PIN Lockout

After 3 consecutive incorrect PIN attempts, your account will be locked for 1 hour. At that point, you will be directed to proceed through the PIN recovery process.

3.3 PIN Recovery

If you forget your PIN, you may request a recovery link via your registered email address. Recovery links are single-use and time-limited. Prioritay cannot recover your account if you no longer have access to your registered email address.

3.4 PIN Changes

You may change your PIN at any time using the forgot PIN prompt. Changing your PIN requires confirmation of your current PIN.

3.5 Unauthorised Access

You must notify Prioritay immediately at privacy@prioritay.com if you become aware of any unauthorised access to or use of your account.

4. ONBOARDING — STANDARDS, PERSON NAME, AND CHECK-INS

4.1 The Onboarding Flow

Prioritay's onboarding consists of a linear sequence of screens that must be completed in order before the dashboard and daily check-in features become available.

4.2 Your Personal Relationship Standards

The six personal standards you write during onboarding are the foundation of everything Prioritay does. By entering your standards, you acknowledge and agree to the following:

• Your standards are written in your own words before this specific relationship has a chance to influence your judgment.
• Prioritay stores your standards exactly as you typed them. They are never altered, rephrased, or interpreted by Prioritay.
• Your standards are displayed verbatim throughout the App.
• Your standards are the basis for every check-in score calculation and every AI-generated daily insight sentence.

4.3 Standards Conflict — Special Weight

The Standards Conflict pillar carries double weight (2x) in Prioritay's scoring model. This is intentional by design and disclosed throughout the App. You acknowledge that this weighting is a core design feature of the product, not an error.

4.4 Person Name

During onboarding, you enter the first name of the person you are tracking. This name is stored verbatim, displayed on your dashboard, used in your daily check-in screens, and passed to the Anthropic Claude API as part of the anonymized check-in data for AI insight generation.

4.5 Daily Reminder

During onboarding, you set a daily reminder time. This triggers a daily push notification on your device at your chosen time. You may change or disable your daily reminder at any time in Settings.

5. THE DASHBOARD — FUNNEL, SCORES, AND AI INSIGHT

5.1 The Dashboard

After your first check-in, the Prioritay dashboard becomes your primary view. It displays:

• The Funnel: An SVG visual with four bands (Moving Toward You, Present but Unclear, Drifting, Moving Away).
• Today's Score: A percentage representing your daily check-in score.
• The Closer / Further Signal: A pill element displaying one word — Closer or Further.
• The AI Daily Insight: One sentence generated by the Anthropic Claude API.
• The Standards Breakdown: All six standards displayed exactly as you wrote them, with a rolling average percentage beside each one.

5.2 The Funnel — Four Bands

The four funnel bands correspond to the following score ranges:

• Moving Toward You: 80 – 100%
• Present But Unclear: 55 – 79%
• Drifting: 30 – 54%
• Moving Away: 0 – 29%

5.3 Closer / Further Signal

The Closer / Further signal is a binary directional indicator calculated from your daily check-in score. "Closer" means your check-in score reflects your standards being met today. "Further" means your check-in score reflects your standards not being met today.

5.4 The Standards Breakdown Panel

Below the Closer/Further pill, Prioritay displays all six of your standards with a rolling average percentage beside each one. These rolling averages update after every completed check-in.

6. DAILY CHECK-INS — HOW IT WORKS AND WHAT IT PRODUCES

6.1 Accessing the Check-In

The daily check-in can be accessed via a push notification at your scheduled daily reminder time or by opening the App manually at any time.

6.2 The Check-In Flow

The check-in consists of three screens, two pillars per screen. Standards Conflict (the sixth and final pillar) is displayed with its 2x badge in red. "Not met today" is highlighted in red to signal double-weight impact.

6.3 Scoring

Check-in scores are calculated as follows:

Daily score = (raw points earned) / (maximum possible points for that day, excluding N/A answers) x 100. If all six answers are N/A, no score is calculated for that check-in. Maximum raw score when all six pillars answered = 28 points.

6.4 Immutability of Check-In Data

Check-in responses are immutable once submitted. You cannot edit or delete an individual check-in record. This is a deliberate design feature.

6.5 Check-In Frequency

During onboarding, you set your preferred check-in daily time. You may complete a check-in at any time. Prioritay limits check-ins to 1X per day.

7. SUBSCRIPTIONS, PRICING, AND FREE TRIAL

7.1 Subscription Plans

Prioritay offers one 90-Day program.

All prices are in USD unless otherwise stated. Applicable taxes may be added at checkout. Subscription plans are automatically renewing.

7.2 Free Trial

Prioritay offers a 3-day free trial. During the free trial, you have full access to all Prioritay features. No credit card is required to start the trial. Your card is captured only if you choose to continue the 90-day program at the end of the trial.

7.3 Day 10 Paywall

After the three-day free trial has concluded, Prioritay displays a subscription prompt before the dashboard loads. You acknowledge that Prioritay uses loss-aversion messaging to inform you of the consequences of not subscribing.

8. PAYMENTS, BILLING, AND STRIPE

8.1 Payment Processing

All payments for Prioritay are processed by Stripe, Inc. Your payment card details are never seen, processed, or stored by Prioritay.

8.2 Automatic Renewal

Prioritay does not have automatic renewal once the 90-Day program has concluded.

8.3 Payment Failure

If a subscription payment fails, Prioritay will notify you by email. Stripe will make reasonable attempts to retry the payment. If payment cannot be collected, your subscription may be suspended or cancelled.

8.4 Refund Policy

The 90-Day program is a final sale and non-refundable. No refunds for partial periods or unused digital content.

8.5 Taxes

Prices quoted may be subject to applicable taxes, including GST/HST and QST for Canadian users. Applicable taxes will be displayed at checkout.

9. PROMO CODES AND AFFILIATE PROGRAMME

9.1 Promo Codes

Prioritay offers promotional codes through its affiliate programme. Promo Codes are entered on the Prioritay landing page only. Each Promo Code is unique to a specific affiliate partner and is non-transferable.

9.2 Affiliate Programme

Prioritay operates an affiliate programme through which eligible influencers and content creators may refer new subscribers in exchange for revenue sharing. Your personal data is never shared with the Affiliate Partner who referred you.

10. CANCELLATION AND ACCOUNT TERMINATION

10.1 Account Deletion by You

There is an account deletion option available within the App.

10.2 Effect of Deletion

Upon account deletion, your personal data is permanently deleted in accordance with the Privacy Policy. Active subscription payments are handled in accordance with Section 8.

11. SETTINGS — EDITING STANDARDS, RESET, AND DELETION

11.1 Editing Your Standards

You cannot edit any of your six personal relationship standards once you have completed the onboarding process.

11.2 Person Name — Editing

You cannot edit the person's name once the onboarding process has been completed.

12. USER CONTENT AND DATA OWNERSHIP

12.1 Your Content

"User Content" means all information and content you enter into the Prioritay Platform, including your personal relationship standards, daily check-in responses, person_name entry, and account information.

12.2 You Own Your Content

You retain full ownership of all User Content you enter into Prioritay. Prioritay claims no ownership of your personal standards, check-in responses, or any other content you provide.

12.3 Licence to Prioritay

By entering User Content into Prioritay, you grant Prioritay a limited, non-exclusive, revocable licence to store, process, and display your User Content within the App for the purpose of providing the Services to you.

12.4 Accuracy of User Content

Prioritay's output is derived entirely from the User Content you enter. Prioritay is not responsible for the accuracy, completeness, or suitability of its output where that output depends on inaccurate or incomplete User Content provided by you.

13. AI-GENERATED CONTENT — SCOPE, LIMITS, AND DISCLAIMERS

13.1 How the AI Insight Works

After each completed check-in, Prioritay makes a single API call to the Anthropic Claude AI model. Your name, email address, account ID, and any other identifying information are never passed to the API.

13.2 What the AI Insight Is

The AI daily insight is a reflective sentence based on today's check-in only. It is designed to name what happened today in warm, specific language and reflect your own standards back to you.

13.3 What the AI Insight Is NOT

The AI daily insight is expressly not advice, a recommendation, a clinical assessment, a statement about your partner, a pattern analysis, or a guaranteed output.

13.4 AI Limitations

AI-generated content is inherently imperfect and non-deterministic. Prioritay makes no warranty as to the accuracy, suitability, or appropriateness of any AI-generated insight sentence.

13.5 AI Training

Anthropic does not, by default, use data submitted through the Claude API to train its AI models. Prioritay has not enrolled in any AI training programme. Your relationship standards and check-in data are not used to train any AI model.

14. ACCEPTABLE USE — WHAT YOU MAY AND MAY NOT DO

14.1 Permitted Use

You may use Prioritay solely for lawful, personal, non-commercial self-reflection purposes as contemplated by these Terms.

14.2 Prohibited Uses

You agree that you will NOT:

• Use Prioritay to monitor, surveil, track, or control another person without their knowledge.
• Use Prioritay for any commercial purpose without Prioritay's prior written authorisation.
• Create multiple accounts to circumvent free trial limits.
• Share your account credentials with another person.
• Attempt to reverse engineer, decompile, or extract the source code of the Platform.
• Attempt to scrape, crawl, or systematically extract data from the Platform.
• Interfere with the operation of the Platform.
• Submit false, misleading, or fraudulent information.

14.3 Consequences of Prohibited Use

Prioritay reserves the right to investigate suspected violations and may suspend or terminate your account immediately if we reasonably believe you have engaged in prohibited use.

15. INTELLECTUAL PROPERTY

15.1 Prioritay's Intellectual Property

All rights in the Platform and its contents are owned by Prioritay or its licensors. This includes the Prioritay name, logo, visual identity, brand, codebase, six-pillar relationship scoring model, AI system prompt, funnel visualisation, and all written content.

15.2 Trademark

The Prioritay name and logo are trademarks. You may not use the Prioritay name, logo, or any confusingly similar mark without Prioritay's prior written consent.

15.3 Open-Source Components

The Platform uses open-source software components licensed under permissive licences. A list of open-source components is available upon request at support@prioritay.com

15.4 Feedback

If you provide Prioritay with any feedback, suggestions, ideas, or recommendations, you grant Prioritay a worldwide, perpetual, irrevocable, royalty-free licence to use, incorporate, and commercialise that Feedback without restriction.

16. PRIVACY

Your use of the Platform is governed by Prioritay's Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to Prioritay's collection and use of your personal information as described in the Privacy Policy.

Key privacy points:

• Your personal relationship standards and daily check-in responses are sensitive personal data. They are visible only to you.
• Prioritay passes anonymized check-in data to the Anthropic Claude API for AI insight generation.
• Prioritay uses session cookies for authentication only.
• All payments are processed by Stripe. Prioritay never sees your payment card details.

17. WARRANTY DISCLAIMER

YOU USE THE PLATFORM AT YOUR OWN RISK. THE PLATFORM AND ALL RELATED TECHNOLOGY, CONTENT, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIORITAY EXPRESSLY DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

Prioritay is not a mental health service, therapy service, or relationship counselling service. The Platform is not a substitute for professional advice, therapy, or support.

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRIORITAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PRIORITAY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO PRIORITAY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TWENTY-FIVE CANADIAN DOLLARS (CAD $25.00).

Some provinces and jurisdictions do not allow the exclusion or limitation of certain damages. To that extent, certain limitations above may not apply to you.

19. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Prioritay and its officers, directors, employees, agents, affiliates, and licensors from and against all third-party claims, liabilities, damages, losses, costs, and expenses arising from or related to:

• Your use of the Platform or Services.
• Your breach of these Terms or applicable law.
• Your User Content.
• Your misuse of the Platform.

20. SUSPENSION AND TERMINATION BY PRIORITAY

20.1 Grounds for Suspension or Termination

Prioritay may suspend or terminate your access to the Platform if Prioritay reasonably determines that you have:

• Violated any provision of these Terms.
• Engaged in fraudulent use of the Platform.
• Failed to pay your subscription after the applicable trial or grace period.
• Provided false or misleading information.
• Attempted to reverse engineer or misappropriate any part of the Platform.

20.2 Effect of Termination

Upon termination, your access to the Platform is immediately revoked. Your personal data is retained for 30 days and then permanently deleted.

20.3 Appeal

If your account is suspended or terminated and you believe the action was in error, you may appeal by emailing support@prioritay.com within 14 days.

21. CHANGES TO THE PLATFORM OR TERMS

21.1 Changes to These Terms

Prioritay may modify these Terms at any time. For material changes, Prioritay will notify you by email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.

21.2 Changes to the Platform

Prioritay reserves the right to modify, update, suspend, or discontinue any feature or aspect of the Platform at any time.

22. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using the Platform, you consent to receive notices, communications, and agreements from Prioritay electronically — via email, push notification, or in-app notice. Your electronic acceptance of these Terms has the same legal effect as a handwritten signature.

23. ASSIGNMENT

Prioritay may assign or transfer these Terms to any successor in the event of a merger, acquisition, or sale of all or substantially all of Prioritay's assets. You may not assign or transfer these Terms without Prioritay's prior written consent.

24. GOVERNING LAW AND DISPUTE RESOLUTION

24.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

24.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Prioritay and attempt to resolve the dispute informally.

24.3 Binding Arbitration (Canada — except Quebec)

Any dispute that cannot be resolved informally shall be resolved by final and binding arbitration before a single arbitrator, administered by the ADR Institute of Canada under its Arbitration Rules.

24.4 Class Action Waiver

YOU AND PRIORITAY EACH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.

24.5 Quebec Residents

If you are a resident of Quebec, the mandatory arbitration clause and class action waiver do not apply to you to the extent they are unenforceable under Quebec law.

24.6 Court Jurisdiction (Non-Arbitration)

For users who have opted out of arbitration, or for disputes that are not subject to the arbitration agreement, the parties consent to the exclusive jurisdiction of the courts of the Province of Ontario.

25. MISCELLANEOUS

25.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Prioritay.

25.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

25.3 Waiver

No failure or delay by Prioritay in exercising any right or remedy constitutes a waiver.

25.4 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between you and Prioritay.

25.5 Survival

Provisions that by their nature should survive termination of these Terms will do so.

25.6 Language

These Terms are drafted in English. Any translation provided for convenience only — the English version controls in the event of any conflict.

25.7 Force Majeure

Prioritay shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond Prioritay's reasonable control.
